By accessing or using Wingman Health's website, browser extension, or any related services (collectively, the "Services"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use our Services.
Wingman Health provides a browser-based referral management and prior authorization automation platform designed for healthcare practices. Our Services include a Chrome browser extension, analytics dashboard, and related tools that integrate with existing Electronic Health Record (EHR) systems.
You must be at least 18 years old and authorized to act on behalf of a healthcare practice or organization to use our Services. By using our Services, you represent that you have the authority to bind your organization to these Terms.
To access certain features, you must create an account. You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.
You agree to use our Services only for lawful purposes and in accordance with these Terms. You shall not:
Certain features require a paid subscription. Subscription fees are billed in advance on a monthly or annual basis. All fees are non-refundable except as required by law. We reserve the right to modify pricing with 30 days' notice.
All content, features, and functionality of the Services are owned by Wingman Health, LLC and are protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, or create derivative works based on our Services without express written permission.
Your use of the Services is also governed by our Privacy Policy and, where applicable, our Business Associate Agreement (BAA). We handle all Protected Health Information (PHI) in compliance with HIPAA regulations.
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. WINGMAN HEALTH DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, WINGMAN HEALTH SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF THE SERVICES. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT PAID BY YOU IN THE TWELVE MONTHS PRECEDING THE CLAIM.
You agree to indemnify and hold harmless Wingman Health, its officers, directors, employees, and agents from any claims, damages, or expenses arising from your use of the Services or violation of these Terms.
We may terminate or suspend your access to the Services at any time for violation of these Terms. You may cancel your subscription at any time through your account settings. Upon termination, your right to use the Services will immediately cease.
These Terms shall be governed by and construed in accordance with the laws of the State of Texas, without regard to its conflict of law provisions. Any disputes shall be resolved in the courts of Bexar County, Texas.
We reserve the right to modify these Terms at any time. We will notify you of material changes via email or through the Services. Your continued use after changes constitutes acceptance of the modified Terms.
